Client Agreement

This Agreement ("Agreement") is entered into between Creelo AI ("Platform", "we") and the individual or entity placing an order for video content creation ("Client", "you"). Submitting a project request constitutes acceptance of this Agreement.
1. Subject Matter
The Platform agrees to organise the creation of video content matching the Technical Specification (Appendix 1) by sourcing and coordinating an AI video creator. The Platform acts as an intermediary and is not the direct creator of the content.
2. Workflow
- Client completes the Technical Specification (brief form) and makes an advance payment.
- Platform proposes a suitable verified Creator within 24 hours.
- Upon agreement, Creator commences work.
- Platform delivers an interim result and final file.
- Client approves the work or submits motivated revisions.
3. Payment and Escrow
All payments are processed through an escrow system: funds are held by the Platform until the Client accepts the result. Upon acceptance confirmation, the Platform releases payment to the Creator. Currency: USD. Applicable bank charges and conversion costs are the Client's responsibility.
4. Technical Specification
The Technical Specification (Appendix 1) is an integral part of this Agreement. Delivery is made strictly per the agreed brief. Changes to the brief after work begins require mutual written agreement and may result in revised timelines and costs.
5. Revisions and Acceptance
One free revision is included in every project. Revisions must be clearly articulated and consistent with the original brief. Additional revisions are charged separately at an agreed rate.
If the Client does not raise objections within 5 business days of receiving the final file, the work is deemed accepted automatically.
6. Refunds
A full refund of the advance payment is made if:
- The Platform was unable to match a Creator within 48 hours
- The Creator did not commence work within 48 hours of agreement
A partial refund (70% of the amount paid) is made if work has commenced but the Client cancels for reasons unrelated to quality. No refund is available after the final result has been accepted or if the Client changed the brief during execution.
7. Timelines
Project timelines are agreed in the Technical Specification. In case of delay attributable to the Platform or Creator, the Client receives a discount on their next project. The Platform is not liable for delays caused by late provision of materials or brief changes by the Client.
8. Content Rights
Upon full payment and acceptance, the Client receives exclusive rights to the final content to the extent specified in the brief. Use of work samples in the Platform's or Creator's portfolio requires the Client's prior written consent.
9. Confidentiality
The Platform will not share Client data, brief contents or project terms with third parties without consent, except as required by law. The Client agrees not to disclose Platform pricing or internal terms.
10. Limitation of Liability
The Platform's total liability is limited to the amount paid for the specific project. The Platform is not liable for indirect damages, lost profits, or reputational losses.
