Creator Agreement

This Agreement ("Agreement") is entered into between Creelo AI ("Platform", "we", "us") and the individual or entity applying to participate as an AI video creator ("Creator", "you"). This Agreement takes effect upon approval of your application.

1. Platform Status and Role

The Platform acts as an intermediary between Clients and Creators. We are not the Creator's employer, do not provide an employment contract, and assume no employment-related obligations. The relationship between the parties is governed solely by this Agreement.

2. Creator Obligations

• Provide only truthful and accurate information about skills, experience and portfolio
• Deliver projects strictly in accordance with the agreed Technical Specification and within set deadlines
• Maintain professional communication through Platform channels
• Promptly notify the Platform of potential delays or difficulties
• Keep Client data and project details confidential
• Comply with applicable law when creating content

3. Non-Circumvention

The Creator agrees not to enter into direct business relationships with Clients first introduced through the Platform, bypassing this Agreement, for a period of 24 (twenty-four) months from the date of the last joint project.

Violation of this obligation shall result in a penalty equal to three times the value of the circumvented project, with a minimum of USD 500. The Platform reserves the right to pursue this penalty through legal or claims proceedings.

4. Commission and Payment

Creator compensation is calculated as the project amount less the Platform commission per Schedule 1 (Appendix). Payment is made within 2–3 business days of Client confirmation of acceptance. Available payment methods: PayPal, WISE, bank transfer. Applicable taxes and bank fees are the Creator's responsibility.

5. Intellectual Property

Upon receipt of full payment, all rights to the created content transfer to the Client to the extent specified in the Technical Specification. The Creator may use the work in their own portfolio only with the Client's prior written consent, unless otherwise specified in the brief.

The Creator warrants that content created does not infringe any third-party copyright, trademark, or other intellectual property rights.

6. Quality and Revisions

One free revision is included in each project by default. Additional revisions are subject to separate agreement. If the result materially fails to meet the Technical Specification and the parties cannot reach agreement, the Platform may initiate a refund to the Client.

7. Confidentiality

All information regarding Clients, projects, terms of cooperation and internal Platform processes is confidential. The parties agree not to disclose such information to third parties without the written consent of the other party.

8. Promotion on Platform

Basic Creator card listing is free. Additional promotion tools (TOP Badge, Featured, Spotlight) are available on a paid basis per current rates published on the site. All promotion payments are non-refundable.

9. Termination

Either party may terminate this Agreement with 14 days' written notice. Termination does not release either party from obligations under projects already accepted, or from the non-circumvention obligation.

The Platform may immediately suspend a Creator's account in cases of systematic violations, fraud, or gross misrepresentation of qualifications.

10. Limitation of Liability

The Platform's total liability to the Creator is limited to the commission retained on the disputed project. The Platform is not liable for Client actions or force majeure circumstances.

11. Amendments

The Platform may amend this Agreement with 14 days' notice to the Creator. Continued participation after the effective date of amendments constitutes acceptance.

12. Governing Law

This Agreement is governed by international commercial law principles. The parties shall use best efforts to resolve disputes through negotiation, failing which through international arbitration.
